Beta Participation Terms

These Proof-of-Concept and Beta Service Terms (the “Beta Terms”) set forth the conditions governing the use of the proof-of-concept, trial, or beta version of “Remolink Discovery” (the “Service”) provided by Remote Robotics Inc. (the “Company,” “we,” “us,” or “our”).
Any person who uses the proof-of-concept or beta version of the Service (a “User” or “you”) must review and agree to these Beta Terms before using the Service.
Article 1. Scope and Application
- These Beta Terms apply while the Service is provided as a proof of concept, trial service, or beta version.
- These Beta Terms apply together with the Remolink Discovery Terms of Use.
- If these Beta Terms conflict with the Terms of Use, these Beta Terms will prevail with respect to matters relating to the proof-of-concept or beta version of the Service.
- The separate Shopping & Returns terms apply to product purchases, shipping, returns, and refunds.
- The separate Privacy Policy applies to the handling of personal information, video, operation logs, and other User information.
Article 2. Purpose of the Proof of Concept
- The Service is provided for the purpose of evaluating product exploration and purchasing through remotely operated robots, User experience, technical performance, operating methods, business feasibility, and related matters.
- The Service is under development and has not yet been formally launched. The Company does not warrant that the Service will provide the same functions, quality, availability, or support as a standard commercial service.
- The Company may use the results obtained through the proof of concept for the evaluation, development, improvement, research, and business planning of the Service and other services.
Article 3. Participation Requirements
- Users must agree to these Beta Terms, the Terms of Use, the Shopping & Returns terms, and the Privacy Policy before using the Service.
- The Service may only be used by persons who are 18 years of age or older.
- Users may not share a single account with multiple persons.
- The Company may establish conditions relating to eligible participants, available dates and times, the number of participants, the number of permitted uses, and other participation requirements.
- If the Company reasonably determines that it is necessary for operation of the proof of concept, the Company may restrict a User’s participation in or use of the Service.
Article 4. Free Use and Paid Extensions
- The Company may provide Users with a period during which the Service may be used free of charge.
- After the free-use period ends, Users may extend their usage time for a fee in accordance with the conditions presented by the Company.
- The free-use period, extension period, fees, currency, payment method, and other conditions will be presented through the reservation screen, pre-use instructions, extension-selection screen, payment screen, or another method designated by the Company.
- Before requesting a paid extension, Users must review the fees and conditions presented by the Company.
- A paid extension is confirmed when payment has been successfully completed.
- Paid extensions may not be available depending on robot availability, reservation status, system conditions, or other circumstances.
- The Company may change the free-use period, extension period, fees, or other conditions applicable to future use. The revised conditions will be presented to the User before the applicable use is requested.
Article 5. Nature of the Service as a Service Under Development
- Users acknowledge that the Service is a proof-of-concept and beta service under development and that the following may occur:
- Delayed or unavailable robot operation;
- Delayed, interrupted, or degraded video;
- Communications or system failures;
- Errors in product information, inventory information, or screen displays;
- Addition, modification, restriction, or removal of functions; or
- Temporary suspension or termination of the Service.
- The Company does not warrant that the Service will be free from defects, malfunctions, display errors, or other problems.
- Users may not use the Service for any purpose where suspension or malfunction could cause a material impact.
Article 6. Changes to Functions and Specifications
- The Company may change any of the following without prior notice for evaluation purposes, technical requirements, safety management, or operational reasons:
- Functions and specifications of the Service;
- Robot operating methods and movement range;
- Available usage times and reservation slots;
- Product display methods and product selection;
- Screen displays, operating procedures, and usage conditions; or
- Methods for providing free use and paid extensions.
- As a result of such changes, functions that were previously available may become unavailable.
- The Company will provide notice of material changes where reasonably practicable. However, advance notice may not be provided for emergency changes or changes necessary for evaluation purposes.
Article 7. Response to Communications Failures and Other Issues
- If a User cannot use the Service as scheduled due to a communications failure, system failure, robot malfunction, inability to operate the robot, or other circumstances the Company considers appropriate, the Company will generally respond through one of the following methods:
- Rescheduling the session to another date and time;
- Extending the usage period; or
- Providing another substitute measure the Company considers appropriate.
- The Company will reasonably determine the response method based on the nature of the issue, the length of the impact, the User’s usage status, reservation availability, and other relevant circumstances.
- If an issue occurs during free use, no monetary compensation will be provided, and the Company will generally respond by rescheduling the session or extending the usage period.
- If the Company is unable to properly provide the Service during paid use due to a reason attributable to the Company, the Company will generally respond by rescheduling the session or extending the usage period.
- If the Company determines that rescheduling or extending the usage period is impracticable, the Company will refund the amount corresponding to the paid portion that could not be used.
- Issues caused by the User’s device, browser, internet connection, or operating environment will not be covered by the preceding paragraphs, unless the Company specifically determines otherwise.
Article 8. Suspension and Termination of the Proof of Concept
- The Company may suspend or terminate all or part of the proof of concept if:
- The evaluation objectives have been achieved;
- A technical or operational issue arises;
- A safety or security issue arises;
- Robots, communications equipment, or facilities become unavailable;
- Coordination with a cooperating business partner or other third party becomes necessary;
- Required by law or requested by an administrative authority; or
- The Company otherwise reasonably determines that continued operation is impracticable.
- The Company will not be liable for a User’s inability to use the Service due to suspension or termination of the proof of concept, except where attributable to the Company’s intentional misconduct or negligence.
- If the Service becomes unavailable for reasons attributable to the Company after payment for paid use has been completed, the Company will respond in accordance with Paragraphs 4 and 5 of the preceding Article.
Article 9. Collection of Video and Operation Information
- For purposes including conducting the proof of concept, safety management, investigating system issues, improving quality, and technical development, the Company may collect:
- Robot operation logs;
- Access logs and usage history;
- Communications status and system information;
- Shopping-cart activity and other screen-operation history;
- Video captured by the robot; and
- Operation screens and other information concerning use of the Service.
- To the extent necessary for evaluation of the proof of concept, the Company may record video captured by the robot or the operation screen.
- The Company does not collect User audio through the Service.
- The purposes of use, retention, disclosure to third parties, and deletion of collected information are set forth in the Privacy Policy.
Article 10. Use for Technical Development
- The Company may use video, images, operation logs, usage history, and feedback relating to the Service for the following purposes:
- Development and improvement of robot-operation functions;
- Development of product-recognition and other image-recognition technologies;
- Development of artificial intelligence and machine-learning technologies;
- Improvement of the user interface and user experience;
- Analysis of defects and system issues;
- Improvement of safety, security, and fraud-prevention functions; and
- Evaluation of the business feasibility and operating methods of the Service.
- The Company will not use video, feedback, or other information that identifies a User for advertising, public relations, external sales materials, or other public-facing purposes without the User’s consent.
- If the Company wishes to publicly disclose information that identifies a User, the Company will obtain the User’s prior consent.
Article 11. Surveys and Feedback
- The Company may request that Users provide surveys, interviews, hearings, defect reports, or other feedback.
- Users are requested to cooperate in providing feedback to the extent reasonably possible.
- The Company may use feedback provided by Users, without charge and without limitation as to time, territory, or method, for evaluation, research, development, improvement, and business planning relating to the Service and other Company services.
- Providing feedback does not entitle the User to compensation, rights in deliverables, or any other rights.
- If the Company externally publishes feedback in a form that identifies the User, the Company will separately obtain the User’s consent.
Article 12. Confidentiality and Prohibition on External Disclosure
- Users acknowledge that the Service is a proof-of-concept and beta service that has not yet been formally launched and may not disclose non-public information learned through the Service to any third party.
- Non-public information includes:
- Non-public screens, functions, and specifications of the Service;
- Robot operating methods and performance;
- Defects, unimplemented functions, and development status;
- Product display conditions and video of the facility; and
- Information identified by the Company as non-public.
- Without the Company’s prior approval, Users may not publish video, images, screenshots, non-public functions or specifications, defects, or other non-public information relating to the proof of concept on social media, websites, video-sharing services, or other media.
- If disclosure is required by law, the User must notify the Company in advance to the extent legally permitted.
- This Article does not apply to information that:
- Was already publicly known at the time of disclosure;
- Becomes publicly known after disclosure through no fault of the User;
- Was lawfully obtained by the User from a third party authorized to disclose it; or
- Was independently obtained or developed by the User without reliance on the non-public information.
Article 13. Disclaimers
- The Company does not warrant that:
- The Service will be formally launched;
- The Service will remain available after completion of the proof of concept;
- Current functions or specifications will be maintained if the Service is formally launched;
- The Service will be free from interruption, delay, malfunction, or data loss;
- A particular product will be found or available for purchase;
- Product inventory will always be available; or
- The User will receive the expected operability or experience.
- Depending on the results of the proof of concept, the Company may decide not to formally launch the Service.
- Participation in the proof of concept does not grant the User any right to participate in, receive priority access to, or obtain discounts for any formally launched service.
Article 14. Limitation of Liability
- The limitations of liability set forth in the Terms of Use apply to use of the proof-of-concept version of the Service.
- The Company will not be liable for changes to functions, suspension, defects, operating delays, or cancellation of a formal launch arising from the nature of the proof of concept, except where attributable to the Company’s intentional misconduct or negligence.
- This Article and the limitations of liability in the Terms of Use do not apply to the extent prohibited by consumer protection laws or other mandatory laws.
Article 15. Amendments to These Beta Terms
- The Company may amend these Beta Terms in response to changes in the evaluation scope, functions, operating methods, or legal requirements.
- The Company will make the amended Beta Terms available through the Service, by email, or through another appropriate method.
- If applicable law requires separate consent to an amendment, the Company will obtain the User’s renewed consent.
