These Sales, Shipping, Returns, and Refund Terms (the “Shopping & Returns Terms”) set forth the conditions governing the purchase, payment, shipment, return, exchange, and refund of products sold by Remote Robotics Inc. (the “Company,” “we,” “us,” or “our”) through “Remolink Discovery” (the “Service”).

Any person who purchases a product through the Service (a “Purchaser” or “you”) must review and agree to these Shopping & Returns Terms before placing an order.

Article 1. Scope and Application

  1. These Shopping & Returns Terms apply to orders, purchases, payments, shipping, returns, exchanges, and refunds made through the Service.
  2. These Shopping & Returns Terms apply together with the Remolink Discovery Terms of Use and the Beta Terms.
  3. The Company’s Privacy Policy applies to the handling of personal information, shipping information, and order information.
  4. If these Shopping & Returns Terms conflict with any specific condition displayed on a product page, order screen, payment screen, or elsewhere, the specific condition will prevail with respect to the applicable product or order.

Article 2. Seller

  1. The seller of products offered through the Service is Remote Robotics Inc.
  2. The Company may outsource product storage, packing, shipment, customs-related operations, and other logistics services to third parties designated by the Company.
  3. Even if logistics services are outsourced to a third party, the Company remains the party to the sales contract with the Purchaser.

Article 3. Products

  1. Products sold through the Service are new products as indicated on the applicable product page.
  2. Product names, specifications, sizes, materials, recommended ages, and other details will be displayed on the applicable product page.
  3. Product images may differ in color, texture, or appearance from the actual product due to photography conditions, lighting, screen settings, or other circumstances.
  4. Minor scratches, dents, stains, or other damage to packaging arising during manufacturing, transportation, or storage that does not materially affect the use or display of the product will not be treated as a product defect.
  5. Minor variations in paint, stitching, molding, printing, or other manufacturing characteristics may not be treated as product defects.
  6. Product information displayed on the Service may include information provided by manufacturers, suppliers, or other third parties.

Article 4. Prices

  1. Product prices will be displayed in U.S. dollars on the product page, shopping cart, or order confirmation screen.
  2. The Company may change prices applicable to future orders due to exchange-rate fluctuations, procurement conditions, inventory status, or other circumstances.
  3. Orders concluded before a price change will generally be subject to the price displayed at the time of the order.
  4. If there is an obvious pricing error, the Company may contact the Purchaser and either cancel the order or confirm whether the Purchaser wishes to proceed at the correct price.
  5. In addition to the product price, shipping fees, taxes, customs duties, import taxes, customs-related charges, and other costs may apply at the time of order or importation.

Article 5. Orders and Formation of the Sales Contract

  1. Before placing an order, the Purchaser must review the product, quantity, shipping address, shipping fee, total payment amount, and other order details.
  2. When the Purchaser submits an order, the Purchaser makes an offer to purchase the applicable product from the Company.
  3. A sales contract between the Company and the Purchaser is formed when the Company sends the Purchaser a notice accepting the order.
  4. An automatically generated order-receipt email does not constitute acceptance of the order unless the email expressly states that the order has been accepted.
  5. If payment is not successfully completed, the Company may decline to accept the order or cancel a sales contract that has already been formed.
  6. If, after an order is placed, a product is found to be out of stock, unavailable for sale, or unavailable for shipment, the Company may notify the Purchaser, cancel all or part of the order, and refund any applicable amount already received.
  7. Because product quantities are limited, a product may sell out during the ordering or payment process.
  8. The Company may reject or cancel an order for reasonable reasons, including suspected fraudulent use, resale purposes, payment issues, or incomplete registration information.

Article 6. Changes and Cancellations After an Order

  1. After the sales contract has been formed, cancellations for the Purchaser’s convenience will not be accepted.
  2. After the sales contract has been formed, the product type, quantity, color, specifications, or other order details may not be changed.
  3. The Company may accept a change to the shipping address only if shipping preparation has not yet begun and the Company determines that the change can be accommodated.
  4. A Purchaser who wishes to change the shipping address must immediately contact the Company’s support desk.
  5. The Company does not guarantee that it can change the shipping address, stop shipment, or redirect the package after shipment.
  6. If the Company is unable to fulfill an order due to reasons not attributable to the Purchaser, including inventory shortages, product defects, or shipping restrictions, the Company may cancel all or part of the order and refund the applicable amount already received.

Article 7. Payment

  1. Product prices, shipping fees, applicable taxes, and other costs displayed at the time of order must be paid through a payment service designated by the Company.
  2. The payment currency is U.S. dollars unless another currency is displayed by the Company.
  3. The Purchaser may only use a payment method that the Purchaser is legally authorized to use.
  4. Payment processing is carried out by a payment service provider designated by the Company.
  5. Currency conversion fees, international transaction fees, and other charges imposed by a card issuer, financial institution, or payment service provider will be borne by the Purchaser.
  6. If payment is not completed, the Company may decline to confirm the order or cancel an order that has already been placed.

Article 8. Shipping Fees

  1. The Purchaser must pay the shipping fee displayed at the time of order separately from the product price.
  2. Shipping fees are determined based on the shipping destination, product details, quantity, and other conditions.
  3. Unless caused by a change to the shipping address or shipping conditions, reshipment, or another circumstance attributable to the Purchaser, the Company will not charge additional shipping fees after the order is confirmed.
  4. If multiple products are purchased, the Company may ship them in separate packages.
  5. If additional shipping fees arise under the preceding paragraph, the Company will charge such fees only after obtaining the Purchaser’s consent.

Article 9. Taxes and Import-Related Charges

  1. The Company may charge Sales Tax, Use Tax, value-added tax, or other taxes that the Company is required to collect under applicable law.
  2. Products will generally be shipped internationally from Japan.
  3. Depending on the laws of the destination country or region, customs duties, import taxes, customs-clearance fees, carrier advancement fees, local handling fees, or other import-related charges (collectively, “Import-Related Charges”) may apply.
  4. Unless the order screen expressly states that they are included, Import-Related Charges are not included in the product price, shipping fee, or total amount paid at the time of order.
  5. Import-Related Charges will be borne by the Purchaser.
  6. The amount and timing of Import-Related Charges are determined by customs authorities, government agencies, carriers, or other third parties, and the Company does not guarantee the amount.
  7. If the Purchaser does not pay Import-Related Charges and the product is held, destroyed, confiscated, or returned, the resulting costs and losses will be borne by the Purchaser.
  8. The Purchaser may not request that the Company make a false declaration or understate the declared value, product description, quantity, or other customs information.

Article 10. Importer and Customs Procedures

  1. Unless otherwise expressly indicated on the order screen or elsewhere, the Purchaser will be treated as the importer or consignee of the product in the destination country or region.
  2. The Purchaser must provide the carrier, customs broker, or other relevant party with any information or documents required for customs clearance, including the Purchaser’s name, address, identification information, or taxpayer identification number.
  3. If a carrier or customs broker performs customs procedures on behalf of the Purchaser, the Purchaser must reasonably cooperate as necessary.
  4. The Company will provide the product name, quantity, sales price, and other information necessary for customs clearance in accordance with applicable law and the actual transaction.
  5. If the Purchaser fails to provide necessary information or documents and the product is held, returned, destroyed, confiscated, or subject to additional charges, the resulting costs and losses will be borne by the Purchaser.

Article 11. Shipping and Delivery

  1. The Company will ship products through a logistics provider or carrier designated by the Company.
  2. Shipping methods, tracking availability, and delivery times vary depending on the order, destination, product weight and dimensions, customs procedures, and carrier availability.
  3. The Company does not guarantee a specific delivery date or delivery period.
  4. Shipment or delivery may be delayed due to inventory confirmation, product preparation, customs procedures, weather, disasters, transportation conditions, strikes, infectious disease outbreaks, air or sea transportation delays, carrier circumstances, or other reasons.
  5. After shipment, the Company will provide a tracking number or other shipping information where available.
  6. The Purchaser must monitor the delivery status and respond to any carrier requests necessary for receipt or customs clearance.
  7. Certain products or shipping methods may not be available for some destinations.
  8. If shipment or delivery becomes difficult, the Company will contact the Purchaser and provide information regarding continuation, modification, cancellation, or another appropriate response.
  9. If the Company cancels an order, the Company will refund the applicable amount already received.

Article 12. Shipping Information

  1. The Purchaser must provide accurate information necessary for shipping, including the Purchaser’s name, address, postal code, country or region, state, and telephone number.
  2. The Purchaser must review the shipping information before confirming the order.
  3. Unless attributable to the Company, the Company will not be liable for delays, misdelivery, returns, loss, or other problems caused by incorrect, incomplete, or outdated shipping information.
  4. If a package is returned or must be reshipped due to incorrect shipping information, the Purchaser will bear the return shipping fee, reshipping fee, customs duties, customs-clearance fees, and other related costs.
  5. After shipment, the Purchaser may be required to request an address change directly from the carrier. The Company does not guarantee that such a change will be possible.

Article 13. Inspection After Delivery

  1. After receiving the product, the Purchaser must promptly inspect the product type, quantity, and condition.
  2. If the product is defective, damaged, incorrect, or incomplete, the Purchaser must contact the Company within seven days after the delivery-completion date shown in the tracking information.
  3. The Company may request photographs or video of the product, packaging, packing materials, shipping label, or other relevant items to confirm the condition of the product.
  4. The Purchaser must retain the product, packaging, packing materials, and shipping label until the Company provides instructions.
  5. If the Company is contacted more than seven days after the delivery-completion date, the Company may be unable to provide a return, exchange, reshipment, or refund.
  6. If the Purchaser was unable to contact the Company within the applicable period due to an error in the tracking information or another circumstance not attributable to the Purchaser, the Company will determine the appropriate response based on the individual circumstances.

Article 14. Returns and Exchanges

  1. All product sales are generally final, and returns or exchanges for the Purchaser’s convenience will not be accepted.
  2. Purchaser-convenience reasons include:
    • The Purchaser does not like the product;
    • The product differs from what the Purchaser expected;
    • The Purchaser ordered the wrong size, color, specifications, or version;
    • The Purchaser placed a duplicate order;
    • The Purchaser no longer wants the product;
    • The Purchaser found the product at a lower price elsewhere; or
    • Customs duties, import taxes, or other Import-Related Charges were higher than expected.
  3. If the Purchaser contacts the Company within the period specified in the preceding Article, the Company will review and respond where:
    • The product has a material initial defect;
    • The product was materially damaged during shipment;
    • A product different from the ordered product was delivered;
    • Part of the ordered product or quantity was missing; or
    • The Company reasonably determines that the product was lost or not delivered during shipment.
  4. The Company will reasonably determine whether to provide an exchange, reshipment, acceptance of a return, refund, or other remedy based on the product condition, inventory availability, shipping status, and other relevant circumstances.
  5. If a replacement product is unavailable, the Company will refund the price of the applicable product.
  6. The Purchaser may not return a product without the Company’s prior approval.

Article 15. Items Not Eligible for Return, Exchange, Reshipment, or Refund

As a general rule, returns, exchanges, reshipments, and refunds will not be available in any of the following cases:

  • The Purchaser contacted the Company more than seven days after the delivery-completion date;
  • The product was damaged, soiled, or lost due to a cause attributable to the Purchaser;
  • The Purchaser used, processed, modified, or repaired the product;
  • The packaging has minor scratches, dents, stains, or damage that does not materially affect the product itself;
  • There are minor differences in color, texture, or appearance between the product image and the actual product;
  • There are minor manufacturing variations in paint, stitching, printing, molding, or other characteristics;
  • The Purchaser does not provide photographs, video, or other materials reasonably requested by the Company;
  • The product was returned without the Company’s approval;
  • The product could not be received due to an incorrect address, refusal of delivery, extended absence, unpaid Import-Related Charges, or another circumstance attributable to the Purchaser; or
  • Tracking information confirms delivery to the correct shipping address, and the product is subsequently stolen, lost, or damaged, unless attributable to the Company.

Article 16. Return Shipping Costs

  1. If the Company requests the return of a product due to a defect, incorrect shipment, or another reason attributable to the Company, the Company will bear the return shipping cost.
  2. The Company will provide the Purchaser with instructions regarding the return method, return address, and other necessary details.
  3. If the Purchaser returns a product using a method other than the method designated by the Company, the Company may decline to bear all or part of the return shipping cost.
  4. The Company does not guarantee acceptance, exchange, or refund of a product returned without the Company’s prior approval.

Article 17. Damage, Loss, and Non-Delivery During Shipment

  1. If a product is damaged during shipment, the Purchaser must contact the Company within seven days after the delivery-completion date.
  2. If a product has not arrived after a period that would ordinarily be expected, the Purchaser must promptly contact both the Company and the carrier.
  3. The Company will determine whether damage, loss, or non-delivery occurred based on tracking information, the results of the carrier’s investigation, information provided by the Purchaser, and other relevant circumstances.
  4. If the Company confirms damage, loss, or non-delivery during shipment, the Company will provide a reshipment or refund depending on inventory availability and other relevant circumstances.
  5. The Purchaser must cooperate with any reasonable investigation by the carrier and provide photographs, documents, or other necessary materials.
  6. If the Purchaser fails to cooperate without a reasonable basis, the Company may be unable to provide a remedy.
  7. If tracking information shows that delivery has been completed but the product cannot be located, the Purchaser must check with household members, building management, reception staff, parcel lockers, neighbors, and the carrier.

Article 18. Refused Delivery, Extended Absence, and Returned Packages

  1. If a product is not delivered and is returned to the Company or the shipping origin for any of the following reasons, the Purchaser will bear the return shipping fee, reshipping fee, customs duties, customs-clearance fees, and other reasonable costs incurred:
    • Refusal of delivery;
    • Extended absence;
    • Incorrect name, address, or telephone number;
    • Failure to pay Import-Related Charges;
    • Failure to respond to the carrier; or
    • Failure to provide information or documents required for importation or customs clearance.
  2. The Company will determine whether to reship a returned product based on the condition of the product, shipping availability, and the costs incurred.
  3. If the product is reshipped, the Purchaser must pay the reshipping fee and any other required costs before reshipment.
  4. If the Company does not reship the product, the Company may refund the remaining balance after deducting the original shipping fee, return shipping fee, customs duties, customs-clearance fees, and other reasonable costs incurred by the Company.
  5. If the product is destroyed, confiscated, or lost and is not returned to the Company or the shipping origin, no refund will generally be provided.

Article 19. Refunds

  1. Refunds will generally be issued through the payment method used for the original purchase.
  2. It may take time for a refund to appear on the Purchaser’s account due to processing by the payment service provider, card issuer, or financial institution.
  3. If the Company refunds all or part of the product price, shipping fees, customs duties, import taxes, customs-related charges, and card issuer or other fees will not be refundable unless attributable to the Company.
  4. If only part of an order is refunded, the refund amount will be calculated based on the purchase price of the applicable product.
  5. Due to exchange-rate fluctuations, the card issuer’s conversion method, or other circumstances, the amount converted into the Purchaser’s local currency at the time of refund may differ from the amount converted at the time of purchase.
  6. Unless required by applicable law, the Company will not provide refunds in cash, points, or a payment method different from the method used for the original purchase.

Article 20. Import Restrictions and Shipping Restrictions

  1. The Company will determine the products offered for sale and the available shipping destinations based on applicable law and shipping restrictions known to the Company.
  2. The Purchaser must confirm that there are no restrictions on the importation, possession, or use of the product arising from the Purchaser’s age, qualifications, intended use, or other individual circumstances.
  3. The Company does not warrant the legality of importation, possession, or use based on circumstances specific to the Purchaser.
  4. If it is determined that a product cannot be shipped due to law, a decision by an administrative authority, or a shipping restriction, the Company may cancel the order and refund the applicable amount already received.

Article 21. Company Liability

  1. The limitations of liability set forth in the Remolink Discovery Terms of Use apply to product sales, shipping, returns, and refunds.
  2. If damage is caused by the Company’s ordinary negligence, the Company’s liability will be limited to ordinary and direct damages.
  3. Unless attributable to the Company, the Company will not be liable for damage arising from:
    • Incorrect shipping information registered by the Purchaser;
    • Refusal of delivery or failure to pay Import-Related Charges;
    • Failure by the Purchaser to provide information or documents required for customs clearance;
    • A decision by customs authorities, a government agency, a carrier, or a customs broker;
    • A natural disaster, war, strike, infectious disease outbreak, or other event beyond the Company’s reasonable control; or
    • Laws or regulations arising from circumstances specific to the Purchaser.
  4. Nothing in this Article excludes or limits the Company’s liability to the extent such exclusion or limitation is prohibited by consumer protection laws or other mandatory laws.

Article 22. Amendments to These Shopping & Returns Terms

  1. The Company may amend these Shopping & Returns Terms in response to changes in shipping methods, return procedures, applicable law, business operations, or other circumstances.
  2. The Company will make the amended Shopping & Returns Terms available through the Service or by another appropriate method.
  3. If these Shopping & Returns Terms are amended after an order is confirmed, the terms in effect at the time of the order will generally continue to apply to that order, except where the amendment benefits the Purchaser or is required by law.
